ZIGA / USOT Token Terms of Sale and Service Effective Date: [01 May 2025
1. Introduction
These Terms of Sale and Service ("Terms") govern the use, purchase, redemption, and custody of USOT Tokens, as well as access to related digital services and wallets provided by ZIGA Co., Ltd. ("ZIGA," "we," or "our").By purchasing, redeeming, holding, or interacting with USOT Tokens or accessing any of our platforms, you agree to be bound by these Terms in their entirety. If you do not accept these Terms, do not proceed with any related actions.ZIGA may update or amend these Terms at its sole discretion without prior notice. Continued use of the Services after changes implies your acceptance of such changes.
2. Eligibility and Access Restrictions
Access to USOT Tokens and related services is limited to individuals and entities that:
Are not located in or residents of jurisdictions where such access is prohibited by law.Are not listed on any sanctions lists, including but not limited to the Specially Designated Nationals and Blocked Persons List maintained by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC).Tether Have completed all required identity verification procedures as mandated by ZIGA.Any use of the services by unauthorized or restricted persons constitutes a violation of these Terms and may lead to account suspension or seizure of assets.
3. Nature of USOT Tokens
USOT Tokens are utility-based digital tokens designed to facilitate top-up and payment transactions across various platforms.USOT Tokens are:Tether Not fiat currency or legal tender.Alloy by Tether +1 Tether +1 Not securities or investment contracts.Tether Not backed by any government or central institution.Not insured by any governmental or private insurance schemes.
4. Wallets and Services
ZIGA may provide access to digital wallets ("USOT Wallets") which store and transmit USOT Tokens. These wallets are software-based and controlled by private keys held by the user.Users are solely responsible for the safekeeping of their credentials. Loss of private keys may result in permanent loss of access to USOT Tokens, for which ZIGA bears no responsibility.
5. Risk Disclosure
- You acknowledge and accept the risks associated with holding and transacting USOT Tokens, including but not limited to: Market volatility.Cybersecurity threats.Regulatory changes.Technical malfunctions.You should not use the Services unless you have sufficient understanding and risk tolerance to do so.
6. Regulatory Compliance
- ZIGA complies with applicable Anti-Money Laundering (AML), Know Your Customer (KYC), Counter-Terrorism Financing (CTF), and Economic Sanctions regulations.By using the Services, you agree to undergo identity verification procedures and provide necessary documentation upon request.
7. Prohibited Use
You may not use USOT Tokens or any related services for:Money laundering or financing of terrorism.Transactions in prohibited jurisdictions.Tax evasion or market manipulation.Infringement of intellectual property.Any illegal or unethical activity.Violation of this section may result in immediate termination of service.
8. Limitation of Liability To the fullest extent permitted by law, ZIGA and its affiliates shall not be liable for:Loss of tokens due to user negligence or technical failure.Unauthorized access to wallets.Tether +1 Alloy by Tether +1 Market value fluctuations.Downtime or service interruptions.All services are provided "as is," without warranties of any kind.
9. Intellectual Property All trademarks, logos, software, and content used in connection with USOT and ZIGA platforms are the intellectual property of ZIGA or its licensors. Unauthorized use or reproduction is strictly prohibited.
10. Governing Law and Dispute Resolution These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea. Disputes shall be resolved through arbitration in Seoul, Korea, in accordance with the Korean Commercial Arbitration Board (KCAB) rules.
